1. Overview
These terms and conditions govern your use of the website at www.caialabs.dev and your engagement with Leoni Milano t/as CAIA Labs ("we," "us," "our") for any of our services. By using our website or engaging our services, you agree to these terms.
If you do not agree, please do not use our website or engage our services.
2. Our services
CAIA Labs provides the following services to clients:
- Custom websites: strategy, copy and design, built in GoHighLevel, Manus or Squarespace
- AI automations: setup and ongoing management of AI agent systems
- Content creation: social media, email sequences, blog and website copy
- AI audits: review of website, content, systems and automations with a prioritised action plan
The scope, deliverables, timeline and pricing for each engagement are confirmed in a written proposal or agreement issued before work begins.
3. Proposals and agreements
A project begins when both parties have agreed to the scope of work in writing (by email or signed proposal) and the required deposit has been received.
Verbal agreements, informal conversations or website inquiries do not constitute a binding contract.
We reserve the right to decline any project at our discretion before a formal agreement is in place.
4. Pricing and payment
Pricing for each project is based on individual project requirements. 
  Services include:
- Custom websites 
- AI automation setups; ongoing monthly management
- AI audits
- Content creation priced per brief
Payment terms:
- A non-refundable deposit of 50% is required before work begins. The remaining balance is due upon project completion, prior to final delivery or site launch.
- For ongoing monthly services, payment is due at the start of each billing period.
- Invoices not paid within 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance.
- We reserve the right to pause or suspend work on any project where payment is overdue.
Where payment is made via a third-party processor (including Stripe or PayPal), a 5% processing fee applies to cover transaction costs. This will be reflected on your invoice.
All prices are listed in US dollars or AED dirhams unless otherwise stated. Clients are responsible for any bank transfer fees or currency conversion costs.
5. Revisions and scope
Custom website projects include 2 rounds of revisions as standard, applied after the initial design or copy is delivered. Revisions are defined as amendments to existing elements, not new pages, sections or structural changes.
Requests that fall outside the agreed scope will be quoted separately and require written approval before work proceeds.
Additional revision rounds beyond the 2 included are available at our standard hourly rate, communicated at the time of request.
6. Client responsibilities
To deliver on time and to the highest standard, we rely on the client to:
- Provide all required materials (copy, images, logins, brand assets) by the agreed dates
- Review and provide feedback within 5 business days of each delivery
- Designate a single point of contact for decisions and approvals
Delays caused by late feedback, missing materials or unclear approvals may extend the timeline. We are not liable for missed deadlines arising from client-side delays.
7. Intellectual property
Upon receipt of full payment, you own the final deliverables created specifically for your project, including website copy, design files and custom content.
We retain ownership of:
- All work in progress until final payment is received
- Pre-existing tools, frameworks, templates and processes we use to deliver work
- Any proprietary systems, automations or methodologies developed by CAIA Labs
We reserve the right to display completed work in our portfolio and across our marketing channels, unless you request otherwise in writing. Requests to opt out of portfolio use must be made before the project agreement is signed.
Third-party platforms (GoHighLevel, Squarespace and others) are subject to their own terms of service and licensing. We are not responsible for changes those platforms make to their products or pricing.
8. Confidentiality
We treat all client information as confidential and will not share it with third parties except where required to deliver your project (for example, with platform providers or specialist contractors).
We ask that clients also treat our proposals, pricing, processes and proprietary materials as confidential and do not share them with third parties without our written consent.
9. AI-generated content
Some of our services involve the use of AI tools to assist with content creation, copy drafts and automation setup. All AI-assisted output is reviewed, edited and refined by our team before delivery.
You are responsible for reviewing all deliverables and confirming they are accurate, appropriate and compliant with any regulations relevant to your industry before publishing or using them.
10. Refunds and cancellations
The deposit paid at the start of a project is non-refundable. It secures your place in our schedule and covers the initial strategy and planning work.
If you choose to cancel a project after work has begun, you are liable for payment of all work completed up to the cancellation date, at the agreed project rate or our standard hourly rate, whichever is greater.
If we are unable to complete a project due to circumstances on our side, we will refund any payment for work not yet completed.
Ongoing monthly services (such as AI automation management) can be cancelled with 30 days written notice. No refunds are issued for a billing period already in progress.
11. Limitation of liability
We will always work to the highest professional standard. However, to the fullest extent permitted by law:
- We are not liable for any indirect, consequential or incidental loss arising from the use of our services or deliverables.
- Our total liability in connection with any project is limited to the total fees paid by you for that project.
- We are not responsible for the performance, uptime or changes to third-party platforms (including GoHighLevel and Squarespace) used to deliver your project.
- We are not liable for any loss of revenue, clients or business opportunities arising from website downtime, platform changes or any other factor outside our control.
12. Warranties
We warrant that our services will be delivered with reasonable skill and care. We do not warrant that our services will achieve any specific business outcome, revenue target, search engine ranking or conversion rate.
Results vary based on many factors outside our control, including market conditions, your industry, your offer and how consistently you follow through on recommendations.
13. Website use
The content on www.caialabs.dev is provided for general information purposes. We make no guarantees about its completeness or accuracy at any given time.
You may not copy, reproduce or redistribute any content from this website without our written permission.
Links to third-party websites are provided for reference only. We are not responsible for the content or practices of any third-party site.
14. Governing law
These terms are governed by the laws of the United Arab Emirates. Any disputes arising from these terms or your use of our services will be subject to the exclusive jurisdiction of the courts of the UAE.
If you are engaging our services from outside the UAE, you agree that UAE law applies to our agreement.
15. Changes to these terms
We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent version. Continued use of our website or services after an update constitutes acceptance of the revised terms.
